(1) Represents 20,000 shares of Class A common stock included in 20,000 units purchased by Larry G. Swets, Jr. Each unit comprises one share of Class A common stock and one-half of one warrant.
(2) The reporting person effected multiple same-way open market sale transactions on the same day at different prices through a trade order executed by a broker-dealer. The reporting person reported on a single line all such transactions that occurred within a one-dollar price range. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $10.94 to $11.10, inclusive. The reporting person hereby undertakes to provide upon request by the Securities and Exchange Commission staff, the issuer, or a shareholder of the issuer, full information regarding the number of shares sold at each separate price.
(3) Represents 462,500 shares of Class A common stock included in the Private Placement Units, as described under the heading "Description of Securities" in the Issuer's registration statement on Form S-1 (File No. 333-248429), which are held by FG New America Investors LLC (the "Sponsor"). Mr. Swets is a manager of the Sponsor and shares voting and investment discretion with respect to the shares of common stock held of record by the Sponsor. Mr. Swets disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
